If you add some more blue to the page, for example link color, I would opt for number one. Agree with Dan about the use of Flash. You don't need it for the whole page. If you only use flash for the fading image, you might have some problems with the text on top of the image. Since you can't position divs on top of flash movies - at least I don't think so.
