I think you've answered your own questions. You obviously don't feel comfortable with the scenario for several reason. It's not the way you're used to working. That shouldn't be enough to scare you off BUT things like partnerships and sharing net profits, if any, in lieu of cash should really be sounding bells. And even if you don't 'think' it will happen you obviously have concerns about the purpose of the site possibly leading to you being sued. In order to come up with a contract that would cover your ass I'd say you'd be needing a competent lawyer. I mean it.. really. Do you think you know enough legalise to write something that would cover you? And then there's that nagging incidental of just who would pay for that counsel if you're doing this work for doubtful 'futures.' I'd try to put forward something like. I've given your proposal serious consideration and I thank you for the offer but initially I would prefer a cash for service arrangement as I have committments that require an income. As we move on and if your generous offer of a partnership still stands we can look into that when the time comes. You haven't gunned him off... you've simply made him aware that you put a value on your work and expect to be paid for it. But like I said... I think you've answered your own questions... go back and read it a few times...
